Article 2  Sichuan Civil and Architectural Society (hereinafter referred to as "the Society")，It is a provincial, academic and non-profit social organization voluntarily formed by civil engineering and construction technology workers and related units in Sichuan Province，Is a legally registered association legal person;It is the bridge and link between the Party and the government of Sichuan Province and the workers of civil and construction science and technology.It is an important social force in Sichuan Province's development and construction。

Article 7 Our business scope:

(1) To carry out academic exchanges, edit and publish academic journals, activate academic thoughts, improve academic standards, and promote the prosperity and development of civil and architectural science and technology and economy。

(2) Popularize scientific and technological knowledge, popularize advanced technologies, and promote the transformation of scientific and technological achievements into real productive forces。

(3) Undertake or participate in project evaluation, achievement appraisal, technical qualification assessment and compilation and review of technical standards entrusted by the government。

Article VIII Matters within the scope of business that are subject to approval as prescribed by laws and regulations shall be carried out after approval according to law。

The ninth article　Members of the Association are divided into individual members and unit members。

Article ten　Membership requirements: To join the Association, you must apply voluntarily, acknowledge the Association's Constitution, and meet the following conditions。

(1) Individual members

1, engaged in civil construction science and technology workers of primary and above technical titles。

2.Engaged in civil construction science and technology work for many years, have considerable academic level and work experience or make contributions to the cause of civil construction science。

3.Leaders who are enthusiastic and actively support the work of the society。

4.Registered students (including graduate students) who have studied civil engineering and architecture in Van Gogh and other schools for at least one year, and who are enthusiastic about academic exchanges and scientific and technological activities (student members are free)。

(2) Unit members

Any enterprise or institution that actively supports the constitution of the Association, works in the field of civil engineering and construction, has a certain number of professional and technical personnel in scientific research, education, production, design and other enterprises and academic organizations, actively participates in the activities of the association and supports the work of the Association, can apply for membership of the association。

Article 11　Membership process 

(1) Login to the official website of the Society (i4jqpve.vilafrancameeting.com), click "Register", fill in the application form, and upload the relevant information。

(2) Pay membership dues in accordance with the regulations on the collection of membership dues。

(3) The secretariat of the Institute will review the qualification of the applicant unit (individual), become a full member after passing, and uniformly issue a membership card。

Article 12　Rights of members

(1) To have the right to vote, to stand for election and to vote;

(2) The right to participate in the activities of the Association;

(3) the right to criticize, suggest and supervise the work of the Council;

(D) priority to obtain the relevant information, technical materials and publications of the Association;

(5) the right to reflect the opinions and requirements of myself or other members to the Association;

(6) Unit members can jointly carry out various activities with the Association;

(7) Membership is voluntary and withdrawal is free;

(8) Other rights stipulated in the articles of association。

Article 13　Obligations of membership

(1) abide by the articles of Association of the Association, implement the resolutions of the Association, and actively complete the work entrusted by the Association;

(2) Safeguard the legitimate rights and interests of the Association;

(3) actively participate in the activities of the Association, concerned about the work of the society and the development of the province's civil construction industry;

(4) Actively writing academic papers and participating in popular science activities;

(5) to reflect the situation to the Council, provide relevant materials and information;

(6) Pay dues according to regulations。

Article 14　Membership management

(1) Entrusted by the Council of the Society, the secretariat of the society is responsible for the management and dynamic management of the archives of members;

(2) In order to do a good job of liaison with members, unit members should appoint special persons (liaison officers) to maintain contact with the society, and if there is any change in contact person, they should report to the secretariat of the society in time。

(3) Any member who violates any of the following terms shall be subject to notification, warning, criticism or even termination of membership according to the relevant provisions according to the seriousness of the circumstances:

1.Violating state laws and regulations and receiving criminal or corresponding punishment;

2.The business license is revoked by the relevant registration authority;

3.Violating the articles of association and relevant provisions, and the circumstances are serious;

4.Damaging the image of social organizations and causing adverse effects;

5.Engaging in business activities in the name of the institute without authorization;

6.Unauthorized contact with overseas organizations in the name of the society, and cause adverse effects and consequences;

7.Without the approval of the association, organize activities contrary to the purposes of the association in the name of the association。

(4) The member shall notify the Secretariat of the Association in writing and return the membership card。If a member does not pay the membership fee or does not participate in the activities of the Association for one year, it will be regarded as automatic withdrawal。

(5) To abide by the association's articles of association, actively participate in the activities of the association, outstanding achievements of the members, awarded the honorary title of outstanding members and other recognition and awards。

Article 15　The organizing principle of the Council is democratic centralism。The supreme authority of the Association is the General Assembly of Members。The functions and powers of the members' Congress are:

(1) To formulate and amend the articles of Association;

(2) to decide on the working policies and tasks of the Council;

(3) To elect and remove directors;

(4) To examine the work report and financial report of the Council;

(5) Formulate or modify the membership fee standard of the Association;

(6) deciding on termination;

(7) To decide on other major matters。

Article 16　The number of members of the congress and the method of distribution shall be discussed and decided by the Standing Council;The delegates to the congress shall be composed of branches, local branches, unit members and representatives of members of the society;The meeting can only be convened if more than two-thirds of the members' representatives are present，The resolution shall take effect only if it is approved by more than half of the representatives of the members present at the meeting。

Article 17　Each session of the members' Congress shall be five years。Due to special circumstances, it is necessary to advance or delay the change of the term, shall be decided by the Council or the Standing Council, submitted to the competent business unit for examination and approval and approved by the registration management authority。The extension of the term of office shall not exceed one year。

Article 18　The Council is the executive body of the Members' Congress, leading the daily work of the Council and responsible to the Members' Congress when the members' Congress is not in session。

Article 19　Terms of reference of the Council:

(1) implementing the resolutions of the members' Congress;

(2) To elect, appoint or remove the Chairman, vice-chairmen and standing directors, and appoint or dismiss the Secretary-General;To decide on the adjustment of the number of members between meetings。    

(3) preparing for the convening of the members' congress;

(4) Reporting work and financial status to the congress of members;

(5) To decide on the admission or expulsion of members;

(6) To decide on the establishment, alteration and cancellation of offices, branches and entities;

(7) To decide on the appointment and dismissal of Under-Secretaries-General and principal heads of agencies;

(8) To lead the work of various organs of the Association;

(9) to formulate internal management systems and supervise their implementation;

(10) To supervise the use of membership fees;

(11) Award outstanding academic papers and outstanding popular science works, commend advanced collectives and individuals of the society, and confer honorary positions or honorary titles on highly respected experts and leaders who have made significant contributions to the work of the society;

(12) To decide on other major matters。

Article 20　The members of the Council shall be elected by the members' congress。The directors should be members who have achieved academic and professional achievements, have a decent style of work, and are enthusiastic to participate in and actively support the work of the society。If a member of a unit is elected as a director unit, its director representative shall be recommended by the unit and elected by a vote of the member's representative assembly。

Experts, scholars or unit leaders who have made significant contributions to the field of civil engineering and construction, as well as society leaders who have served as the president, vice president or standing director of the society, may hold honorary positions of the society after discussion and decision of the Council。

The Council shall be convened only when two-thirds or more of its members are present, and its resolution shall take effect only when it is approved by two-thirds or more of the members present。

Article 21 The board of directors is reelected, and the age of the newly co-elected directors is generally not more than 60 years old。

Article 22  The Council meets at least once a year。

Article 23  The Council shall establish a Standing Council。The Standing Council shall be elected by the Council, the number of which shall not exceed one third of the number of the Council, exercise the functions and powers of the Council when the Council is not in session, report to the competent business unit for examination and approval, and obtain the approval of the registration administration authority, and be responsible to the Council。

Article 24　The Standing Council shall be convened only when more than two-thirds of the standing Council members are present, and its resolution shall take effect only when voted by more than two-thirds of the standing Council members present。

Article 25　The meeting of the Standing Council shall be held at least once every six months。

Article 26  The Chairman, Vice Chairman and Secretary General of the Association shall meet the following requirements:

(1) Adhere to the Party's line, principles and policies, and have good political quality;

(2) There is a certain influence in the field of civil construction;

(3) be in good health and able to work normally;

(4) The maximum age of the chairman, vice chairman and Secretary General shall not exceed 70 years of age, and the secretary general shall be full-time;

(5) Having full capacity for civil conduct;

(6) have not received criminal punishment;

(7) Enthusiasm for learning work, close contact with members, fairness, democratic style。

Article 27　The Chairman, Vice chairman and Secretary General of the Association who are above the maximum age of office shall be approved by the Board of Directors before taking office。

Article 28　The term of office of the Chairman, Deputy Chairman and Secretary General of the Association is five years, and the re-election shall not exceed two terms。If the term of office needs to be extended due to special circumstances, it shall be approved by the vote of more than two-thirds of the members' representatives of the members' congress, submitted to the competent business unit for examination and approval, and approved by the registration administration department。

Article 29　The Chairman of the Association is the legal representative of the Association。The legal representative of the Association shall not concurrently serve as the legal representative of other associations。

Article 30　The Chairman of the Association shall exercise the following powers:

(1) Convene and preside over the Board of Directors or the Standing Board of Directors;

(2) To check the implementation of the resolutions of the members' Congress, the Board of Directors and the Standing Board of Directors;

(3) Sign relevant important documents on behalf of the Association;

(4) To handle and decide on important matters related to the Council。

Article 31　The Secretary-General of the Association shall exercise the following powers under the leadership of the Chairman:

(1) to preside over the daily work of the office and organize the implementation of annual work plans;

(2) Implementing resolutions of the Board of Directors and the Standing Board of Directors;

(3) Coordinating the work of branches and entities, nominating deputy secretaries, working committees, sub-committees, and principal persons in charge of professional committees, and submitting them to the Council or the Standing Council for decision;

(4) To decide on the employment of full-time staff of administrative offices and entities;

(5) to handle other daily affairs。

Article 32  The society shall, within the purposes and business scope stipulated in the Articles of Association, set up branches specializing in certain business activities according to the needs of activities, the division of business scope or the characteristics of the composition of members。The branch of the society is an integral part of the society, must be approved by the council of the society or the executive Council, accept the leadership of the Council of the society (the Executive Council), do not have legal personality, do not draw up separate articles of association, do not open bank accounts, and carry out activities within the scope authorized by the society。

Article 33  Sub-committees, professional committees and working committees shall adopt the membership system;The group members of the Association shall have 1-2 liaison officers。

Article 34  The secretary general of the branch, professional committee and working committee and the liaison officer of the unit members are the basic staff of the society and the bridge between the society and the members;The person in charge of the branch (including the secretary General) shall not exceed 70 years of age。

Article 35  The branch, professional committee and working committee must submit the "Annual Work Report of the Provincial social organization" to the secretariat of the society before the end of January of the following year, and report on the party building work for two consecutive years, and the society will cancel the branch, professional committee and working committee。

Article 36  The financial affairs of the branch shall be integrated into the unified management of the society's statutory accounts。

Article 37　Source of funds:

(1) membership fee;

(2) Government funding;

(3) subsidies from relevant departments;

(4) Donations by units, groups and individuals;

(5) Income from activities or services carried out within the approved scope of business;

(6) interest;

(7) Other lawful income。

Article 38　The Association collects membership fees in accordance with the articles of association。

Article 39　The membership fee of the Association shall be used for the business scope and the career development of the Association as stipulated in the Articles of Association, and shall not be used for other purposes。

Article 40　In accordance with the provisions of the Accounting Law of the People's Republic of China and the Accounting System for Non-profit Organizations, the Association shall establish a strict financial management system, equip accounting personnel with professional qualifications, establish accounting books, conduct accounting, and provide legal, true, accurate and complete accounting information in a timely manner。    

Article 41　The asset management of the Association shall implement the management system prescribed by the State and accept the supervision of the member Congress。Where the source of assets is appropriated by the superior or donated or funded by the society, it shall be subject to the supervision of the auditing institution。

Article 42　The assets and funds of the Association shall not be appropriated, privately divided or misappropriated by any unit or individual。

Article 43　Financial audit shall be conducted before the change of legal representative。

Article 44　The salary, insurance, welfare, bonus and other benefits of the full-time staff of the Association shall be implemented in accordance with the relevant national and local regulations。

Article 45　Amendments to the articles of Association shall be approved by the Board of Directors and submitted to the General Assembly of members for deliberation and approval。

Article 46　The amendment of the constitution of the Association shall be approved by the member congress, approved by the Sichuan Provincial Science and Technology Association, and submitted to the Sichuan Provincial Civil Affairs Department for approval and take effect。

Article 47　When the Association is dissolved on its own or needs to be cancelled due to division, merger, etc., the Board of Directors or the Standing Board of Directors shall put forward a motion for termination。

Article 48　The motion for termination of the Council is subject to the vote of the General Assembly。

Article 49　Before the termination of the association, it shall set up a liquidation organization under the supervision of the competent business unit and the registration administration of the association to clear up claims and debts and deal with the aftermath。During the liquidation period, no activities other than liquidation shall be carried out。

Article 50　The association shall terminate upon the cancellation of registration by the association registration administration authority。

Article 51　The remaining property after the termination of the Association shall be disposed of in accordance with the relevant provisions of the State。

Article 52　These Bylaws were considered and adopted by the Board of Governors on April 3, 2021。

Article 53　The right to interpret these articles belongs to the Council of the Association。

Article 54　The articles of association shall come into force on the date of approval by the Department of Civil Affairs of Sichuan Province。

Article one These Regulations are formulated in order to clarify and standardize the duties, powers and obligations of the Board of Supervisors of Sichuan Civil Engineering and Architecture Society, so that the Board of Supervisors can effectively exercise the supervisory power over the Board of Directors and the Standing Board of Directors。

Article 2 The duty of the supervisory Board is to supervise the work of the Council and the Standing Council of the Institute as entrusted by the member representative Assembly。
